FS1165 LEGAL COUNSEL AND SNR LEGAL COUNSEL

Overview

Our client provides energy and EPC services across MENA and beyond. They are enjoying ongoing international expansion with a full project pipeline across the region.

Position

To support this expansion, the company is seeking to appoint a new Legal Counsel based at their Abu Dhabi HQ.

Reporting to the Group Legal Director, the role will provide expert legal support across the Group Company’s diversified operations, ensuring compliance with UAE federal laws, free zone regulations, and applicable international standards and laws. The role involves advising on contracts, governance, claims, litigation, and regulatory matters, with a focus on mitigating legal risks and enabling strategic business decisions.

Principal Accountabilities

• Review and interpret complex contracts, including FIDIC-based agreements, to identify legal risks and ensure alignment with UAE Civil Code.
• Advise on contract terms, obligations, and liabilities under both UAE law and international frameworks such as UNCITRAL and the Rotterdam Rules.
• Draft, revise, and maintain contract templates and legal documentation in accordance with UAE and international best practices.
• Support contract execution and implementation phases with legal guidance, including change orders and variations.
• Ensure compliance with the company’s Limits of Authority and internal procedures.
• Coordinate with relevant departments to address and transfer contract risks appropriately.
• Ensure all activities comply with applicable laws, corporate policies, and business procedures.
• Review and advise on compliance with data protection and privacy laws applicable to company operations.
• Assist in training internal teams on legal and regulatory compliance matters.
• Support risk management efforts.
• Draft and review corporate policies to ensure legal compliance and alignment with best practices.
• Participate in due diligence processes related to mergers, acquisitions, or partnerships.

Required

• Juris Doctor (JD) Degree from an accredited law school.
• English and Arabic (preferred).
• Admission to the bar and a valid license to practice law (preferred).
• Relevant qualification in Civil or Common Law.
• Minimum 5 years of experience as in‑house lawyer in industrial/marine construction/engineering or with a reputable law firm.
